Three roads converged at once last week, each with a similar theme: Investors passed along their feedback to corporate boards, while directors reflected on how shareholder engagement and activism has affected board performance.

1. Investors Board Performance Review

Last Wednesday, Boardroom Resources filmed the third (and final) session of the 2016 Investors Board Performance Review. We partnered with Nasdaq, PwC’s Governance Insights Center, Wilson Sonsini Goodrich & Rosati, and Equilar in this special series aimed at bridging the communication gap between board members, institutional investors, and proxy advisors. The panel:

  • Michelle Edkins, Managing Director & Global Head of Investor Stewardship at BlackRock
  • Greg Taxin, Managing Member at Spotlight Advisors, LLC.
  • Aeisha Mastagni, Corporate Governance Portfolio Manager at CalSTRS

In a room full of corporate directors, investors answered questions about board performance: What are boards doing well? Where can they improve? What should shareholder engagement look like? 2. PwC’s Annual Corporate Directors Survey

PwC has released the 2016 insights from their Annual Corporate Directors Survey. We promise a deep dive into this report in the weeks ahead, including an upcoming episode with Managing Director Paul DeNicola to draw practicable insights for board members. In the meantime, you can access the survey results here.

3. Bloomberg: “Activists Seen by Board Members as Effective Investors”

Keep an eye out for our own Host TK Kerstetter and PwC’s Paula Loop quoted in Bloomberg’s latest coverage of board-investor relations. They dig into the PwC survey to assess how shareholder activism has affected board performance.

“Eighty percent of board members say that activism has compelled their companies to ‘more effectively evaluate strategy, execution and capital allocation.’ About the same number found that activists helped improve operations.”
