If you tuned into any recent episodes or blogs, then you know that we’ve coined Board Composition as the #1 board governance issue for 2017. Throughout our Investors Board Performance Review series, major institutional investors and proxy advisors made it abundantly clear that board composition would be on their radar this year.
Last week, we peeled back the layers of the board composition challenge and suggested ways in which board members could answer the call in 2017:
Investor concerns about board composition are not only focused on diversity of gender or race, but also on the diversity of skill sets, backgrounds, perspectives, and personalities—and whether boards have the right mix of these characteristics for their particular industry, company, and strategy.
The solution is both simple and complex at the same time… Improvements in board composition quite simply rest on the board’s succession strategy, which necessarily involves several factors, requirements, and opinions related to the “right mix” of board members. Trends in proxy access and shareholder engagement only serve to further complicate board succession planning.
On Thursday, February 9, 2017, Equilar will host a webinar dedicated to the board composition challenge in 2017. Speakers representing Vanguard, PwC’s Governance Insights Center, and the Equilar team will review trends and opportunities in board composition and director recruitment.
