How is the role of the compensation committee evolving? There was much advice shared—and even some surprises—at Equilar’s 2016 West Coast Compensation Committee Forum in November. One surprise was that investor panelists seemed more open to compensation committees using their own discretion when rewarding executive performance.
We invited Frances Skinner, the compensation chair for Diamond Hill Investment Group, to share her views on the evolving responsibilities of compensation committees as they attempt to balance the interests of the company, management, and shareholders. Skinner also outlines the most common risks facing the compensation committee today and touches on the following:
- How has the role of the compensation committee chair changed over the last couple years?
- What impact has Say-on-Pay had on boards outside of compensation?
